MPNA Board Meeting Minutes
March 7, 2006  
I. Call to Order & Introduction (Sheridan)
The meeting was called to order at 6.30
Board Attendance:

II. Reading of the Minutes (Dian)
January Minutes were approved, as amended
February Minutes were approved

III. Treasurer’s Report (Jim)
A detailed report was not available due to the recent change in Treasurer. The treasury balance is approximately $5600. A disbursement to Kerry Moss was made since Jim’s appointment for $100. The report was approved.

IV. Committee Reports
None will be presented

V. New Business (topics not covered above- membership must submit all agenda requests in writing no later than the day prior to meeting)

Upcoming Election, Nominating Committee, Nominations, Early Voting (Kerry)

Rick DeGraw and Everett Dilley will join the Nominating Committee.
BJ Dines is willing to stand for Member at Large.
Early Voting has been arranged for April 1, 11-2pm at the Church.

A motion was made regarding the scheduling of the election:
Postpone election until the first Tuesday in August. Such election will be conducted in accordance with existing bylaws until amended. The motion was unanimously approved.

Regarding Graffiti- neighbors may contact the City’s Graffiti Busters to report graffiti. See the City website for details.

Regarding Mosquito Control- BJ Dines will follow up with Maricopa Vector Control to determine if the county has any plans for spraying again this year.

Bylaw Review

Review of the bylaws continued, beginning with Article III, Section 1, paragraph 1 and the words “Each such single family unit..”. That portion of the paragraph was amended as shown below and the amended language was approved unanimously (12-0). (The preceding language in this paragraph was amended in the February meeting).

Each such single family unit shall be entitled to two votes, one per adult (age 18 or over) owner of the property. In the instance a property is owned by one person, such person shall be entitled to two votes. Apartment residential units are limited to one vote per complex.

Article III, Section 2 was amended as shown below and the amended language was approved unanimously (13-0)

A. Voting Members shall have the following rights and privileges:
1. All Voting Members have the right at reasonable times, with written notice, to inspect the financial records.
2. Only Voting Members may serve as an officer or Board member.
B. Voting Members and members shall have the following rights and privileges:
1. Serving on committees.
2. Receiving notices and mailings.

Article IV, was amended as shown below and the amended Option 1 language was approved unanimously (14-0).

Section 1. The Association shall meet annually with such additional meetings as the Executive Board shall designate.
Section 2. A quorum shall consist of the Voting Members present. Decisions shall be made be a majority vote of the Voting Members present. Section 3. Special meetings shall be called upon written request of five Voting Members.
